What to expect post-investment: the Company should provide bi-annual updates for Wealth Club to distribute to shareholders. The Company may also communicate with shareholders directly, however Wealth Club Nominees, which holds the shares, will be responsible for all corporate resolutions and communications relating to voting and pre-emption matters.

Q-Bot Limited ("Q-Bot") uses a robot to insulate the underfloor voids in houses, reducing heat loss, improving energy efficiency and decarbonising the housing stock. Management estimated the insulation – which doesn’t require the lifting or removal of floorboards – could be applicable to c. 10 million homes in the UK and many more in the US and EU. 

EMV Capital has just informed us the Company has suffered two major setbacks this month: it was unable to raise the required capital it set out to raise last month, and its new Executive Chair, Victor Vadaneaux, has resigned with immediate effect.

Malcolm Groat, who joined recently as Investment Director, has been promoted to Non-Executive Chair, taking over Victor’s responsibilities.  

Consequently, the Company is facing serious liquidity issues and has launched an emergency funding round at a deep discount, in a bid to prevent insolvency.  

Non-Executive Chair Malcolm Groat has prepared a letter to set out the issues and proposed plan in more detail.  

Meanwhile, shareholders are requested to vote on the Company’s Resolutions, to allow the Company to issue new shares. Votes need to be registered by Thursday 18 July. 

If after carefully reading all the documents, and if you are comfortable with the significant risks involved, you wish to invest, you can do so online – there is no minimum investment for existing shareholders. The deadline for clear funds is 18 July.

Fees and structure

Investors will pay no direct initial or ongoing charges to invest. Fundraising costs are being met by the Company. Wealth Club will be entitled to a performance fee on exit. 

Wealth Club investors will invest using a nominee structure. This service is provided by Wealth Club’s subsidiary companies Wealth Club Asset Management Limited (authorised and regulated by the FCA) and Wealth Club Nominees Limited. Wealth Club Nominees Ltd will be completing the share subscription documentation on investors’ behalf.
